1. Introduction

Welcome to Bountiez.co! These Terms of Service ("Terms") govern your access to and use of the Bountiez.co website, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access or use the Service.

To access certain features of the Service, you must register for an account. When you register, you agree to provide accurate, current, and complete information.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

By creating an account, you must be at least 18 years old or have the legal capacity to enter into binding contracts in your jurisdiction.

4. Platform Integration and OAuth

Our Service requires integration with third-party platforms (TikTok, YouTube, Twitch) through OAuth authentication. By linking your accounts, you:

• Authorize us to access account data necessary to verify content ownership and track performance metrics
• Confirm you have the right to grant such access to third-party accounts
• Acknowledge that your use of those platforms remains subject to their respective terms of service

5. Poster Obligations

As a Poster on our platform, you agree to:

• Provide clear, lawful, and realistic requirements for content creation
• Specify accurate compensation rates (CPM), payout thresholds, and any required hashtags or watermarks
• Process payments for approved Submissions within 72 hours of a payout request
• Only dispute Submissions based on legitimate non-compliance with stated requirements
• Not post content requests that are illegal, unethical, political in nature, or otherwise violate our community standards

6. Creator Obligations

As a Creator on our platform, you agree to:

• Create and submit content that complies with all requirements specified in the Post
• Only submit content that you have personally created and published on your linked accounts
• Not engage in fraudulent activities to artificially inflate view counts or engagement metrics
• Grant Posters a license to use your submitted content as specified in the Post
• Not submit content that infringes on the intellectual property rights of others

7. Payments and Compensation

Our platform facilitates payments between Posters and Creators based on the following terms:

• Compensation is calculated based on the CPM rate specified in the Post and the verified view count
• Creators may request payment once their submission reaches the payout threshold specified in the Post
• Posters must process payments within 72 hours of a payout request
• If payment is not made within 72 hours, the Post will be disabled until all pending payouts are processed
• We will charge service fees for facilitating transactions on the platform
• All payment disputes must be submitted through our dispute resolution process

8. Dispute Resolution

Our platform includes a dispute resolution process for addressing disagreements between Posters and Creators:

• Posters may dispute a Submission if it does not comply with the requirements specified in the Post
• Our administrators will review disputes and make final decisions based on objective compliance with the stated requirements
• During review, compensation tracking for the disputed Submission may be paused
• All parties agree to abide by the final decision of our administrators

9. Content Moderation and Restrictions

Bountiez.co reserves the right to moderate content and may disable or remove Posts or Submissions that:

• Promote illegal activities
• Contain explicit or adult content
• Include hate speech or discriminatory content
• Focus on divisive political issues
• Infringe on intellectual property rights
• Otherwise violate our community guidelines or terms of service

We retain sole discretion in determining whether content violates these restrictions.

10. Intellectual Property

By using our Service, you acknowledge the following regarding intellectual property:

• Creators retain ownership of their original content, subject to licenses granted to Posters as specified in the Post
• Posters grant Bountiez.co a license to display their Posts on the platform
• Creators grant Bountiez.co a license to display their Submissions and track performance metrics
• Bountiez.co retains all rights to the platform, including its design, functionality, and proprietary elements
• Users may not copy, modify, distribute, or reverse engineer any aspect of the Service without our explicit permission

11. Limitation of Liability

To the maximum extent permitted by law, Bountiez.co and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service, including without limitation, any defamatory, offensive, or illegal conduct
• Unauthorized access, use, or alteration of your transmissions or content
• Disputes between Posters and Creators, including payment disputes
• Technical failures, including platform downtime or data inaccuracies

12. Indemnification

You agree to defend, indemnify, and hold harmless Bountiez.co and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your user content, including Posts or Submissions that infringe on third-party rights
• Your use of the Service
• Any breach of representations and warranties set forth in these Terms
• Your violation of the rights of any other person or entity

13. Modifications to the Service

We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Bountiez.co shall not be liable to you or to any third party for any modification, suspension, or discontinuation of the Service.

14. Termination and Account Suspension

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
